Spot Rent LLC
Demo Terms of Service
(Conference Product Demonstration)
Version 2026-09-28 · last updated September 28, 2026
These Demo Terms of Service (“Demo Terms”) are entered into by and between the property management company completing this demonstration (“Property Manager,” “you,” or “your”) and Spot Rent LLC (“Spot,” “we,” or “us”), and govern Property Manager’s participation in a live, in-person product demonstration of Spot’s Guaranteed Rent and Rent Advance products (the “Demo”) conducted at an industry conference or similar event (the “Event”). By clicking “I Agree” on the acceptance screen, or otherwise participating in the Demo, Property Manager agrees to be bound by these Demo Terms.
Important: these Demo Terms apply only to the Demo. They do not enroll Property Manager, any Owner, or any Property in Spot’s property manager program, and they are not a substitute for the Spot LLC Property Manager Program Agreement (the “Program Agreement”), which remains required before Spot purchases any Lease Receivables or Property Manager otherwise participates in Spot’s programs on an ongoing basis.
1. Definitions
1.1 “Demo Data” means any property, lease, rent-roll, ledger, payment, or occupancy information retrieved from Property Manager’s property management platform solely to populate the Demo, in each case relating only to Property Manager’s own managed properties.
1.2 “Demo Period” means the period beginning when Spot is granted Platform Access and ending on the earliest of (a) the conclusion of the Event, (b) ninety (90) days after Platform Access is granted, or (c) termination under Section 7.
1.3 “Platform Access” means the temporary, read-only access to Property Manager’s accounting, servicing, or rent-collection platform(s) that Property Manager elects to grant to Spot for purposes of the Demo, as described in Section 3.
1.4 “Program Agreement” means the definitive Spot LLC Property Manager Program Agreement (or successor form) that Property Manager must separately execute in order to participate in Spot’s property manager program on an ongoing basis.
2. Purpose; Not an Offer
The Demo is provided solely to illustrate the functionality of Spot’s products using representative or Property Manager’s own portfolio data. The Demo does not constitute, and shall not be construed as, an offer by Spot to purchase Lease Receivables, a solicitation of any Owner, a quote, a pricing commitment, an approval or underwriting decision, or the extension of any product to any Property. No compensation, fee, revenue share, or other payment is due to or from either party in connection with the Demo.
3. Platform Access; Demo Data
3.1 Scope. If Property Manager elects to connect a live data source for the Demo, Property Manager will provide Spot with temporary, read-only Platform Access limited to the minimum property, lease, rent-roll, and payment information reasonably necessary to populate the Demo screens. Platform Access does not permit Spot to initiate or approve disbursements, modify ledger or accounting records, or make any change within Property Manager’s platform.
3.2 Time Limit. Spot will not maintain Platform Access, or retain any Demo Data obtained through it, for more than ninety (90) days after Platform Access is granted. Spot will revoke its own access and delete or permanently de-identify all Demo Data in its possession promptly following the earlier of that ninetieth day or the end of the Demo Period, except to the extent retention is required by applicable law or the data has been fully aggregated or de-identified such that it no longer identifies Property Manager, any Owner, any Property, or any Tenant.
3.3 Use Limitation. Spot will use Demo Data solely to conduct the Demo for Property Manager and for Spot’s internal product testing and improvement. Spot will not use Demo Data to make any underwriting, pricing, or purchase decision, will not share Demo Data with any Owner or Tenant, and will not sell or license Demo Data to any third party.
3.4 Property Manager Discretion. Property Manager may instead elect to run the Demo using sample or anonymized data, in which case Sections 3.1–3.3 do not apply.
3.5 Data Security. Spot will maintain commercially reasonable administrative, technical, and physical safeguards designed to protect Platform Access credentials and Demo Data against unauthorized access, use, or disclosure, consistent with the temporary and limited nature of the Demo.
3.6 No Other Privacy Terms Apply. Demo Data is governed exclusively by this Section 3, and not by any other Spot privacy policy, terms of service, or public-facing policy, whether currently in effect or later adopted.
4. No Purchase; No Program Participation
Nothing in the Demo or these Demo Terms enrolls Property Manager or any Owner in Spot’s property manager program, and Spot has no obligation to purchase, evaluate, or approve any Lease Receivables based on the Demo. Any future purchase of Lease Receivables, and any ongoing platform access, reporting, remittance, or other operational relationship between the parties, requires (a) execution of a definitive Program Agreement between Spot and Property Manager, and (b) a separate Lease Receivables Purchase Agreement between Spot and the applicable Owner for each Property.
5. Property Manager Representations
5.1 Property Manager represents that it has the authority to grant Spot temporary, read-only Platform Access to the Demo Data described in Section 3, consistent with its obligations to Owners and Tenants and applicable law.
5.2 Property Manager represents that any Demo Data it elects to share reflects properties it currently manages, and that it will promptly notify Spot if it wishes to end Platform Access at any time, which Spot will honor immediately.
6. Confidentiality
Each party will keep confidential, and not disclose to any third party, the other party’s non-public business, technical, or product information disclosed in connection with the Demo, except: (a) Demo Data may be used by Spot as permitted in Section 3; (b) each party may disclose information to its officers, employees, and advisors with a need to know, who are bound by confidentiality obligations at least as protective as those in this Section; and (c) as required by applicable law or legal process. This Section survives the end of the Demo Period.
7. Term; Termination
These Demo Terms are effective upon Property Manager’s acceptance and continue through the Demo Period. Either party may end the Demo, and Property Manager may revoke Platform Access, at any time and for any reason by written or verbal notice (including at the Event). Upon termination, Spot will promptly cease using and, per Section 3.2, delete or de-identify any Demo Data, and Sections 4, 6, 8, 10, 11, and 12 will survive.
8. Disclaimers; Limitation of Liability
THE DEMO AND ANY RELATED SOFTWARE, MATERIALS, OR OUTPUTS ARE PROVIDED “AS IS” FOR DEMONSTRATION PURPOSES ONLY, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY WARRANTY OF ACCURACY, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE. Except for a party’s breach of Section 6 (Confidentiality), violation of applicable law, or fraud or willful misconduct, in no event will either party be liable to the other for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to the Demo, and each party’s aggregate liability arising out of the Demo will not exceed one thousand dollars ($1,000).
9. Acceptable Use
In connection with the Demo, Property Manager will not, and will not permit its representatives to: (a) attempt to gain unauthorized access to Spot’s systems, accounts, or data beyond the Platform Access described in Section 3; (b) interfere with or disrupt the security, integrity, or normal operation of Spot’s systems or the Demo; (c) provide false or misleading information in connection with the Demo; or (d) reverse engineer, decompile, or attempt to extract source code from any software used in the Demo.
10. Intellectual Property; No Recording
All software, product designs, screens, materials, and trademarks displayed or used in the Demo are the property of Spot or its licensors. Property Manager may not reproduce, distribute, or create derivative works from those materials, and may not photograph, screen-record, or otherwise capture the Demo’s product screens or materials, in each case without Spot’s prior consent.
11. Independent Relationship
Nothing in these Demo Terms creates any partnership, joint venture, agency, employment, or fiduciary relationship between Spot and Property Manager. Property Manager has no authority to bind Spot, and participation in the Demo does not obligate either party to enter into any further agreement.
12. Governing Law; Dispute Resolution
12.1 Governing Law. These Demo Terms are governed by the laws of the State of Colorado, without regard to its conflict of laws principles.
12.2 Arbitration. Any dispute, claim, or controversy arising out of or relating to these Demo Terms or the Demo will be resolved by final and binding arbitration in Denver, Colorado, administered by JAMS under its Comprehensive Arbitration Rules and Procedures then in effect, before a single arbitrator. Judgment on the award may be entered in any court having jurisdiction. Nothing in this Section prevents either party from seeking emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm, including with respect to Section 6 (Confidentiality) or Section 10 (Intellectual Property; No Recording).
12.3 Jury Trial and Class Action Waiver. EACH PARTY WAIVES THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING ARISING OUT OF OR RELATING TO THESE DEMO TERMS OR THE DEMO.
13. Electronic Acceptance; General
13.1 Electronic Acceptance. Property Manager’s click on “I Agree” on the acceptance screen, together with participation in the Demo, constitutes a valid and binding acceptance of these Demo Terms. No separate signature is required.
13.2 Entire Agreement (Demo Only). These Demo Terms constitute the entire agreement between the parties regarding the Demo only, and do not amend, replace, or waive any provision of any other agreement between the parties. If Property Manager and Spot later execute a Program Agreement, the Program Agreement will govern the ongoing relationship between the parties and will not be superseded by these Demo Terms.
13.3 Miscellaneous. These Demo Terms may not be assigned by Property Manager without Spot’s prior written consent. If any provision is held unenforceable, the remaining provisions remain in full force and effect.
14. Questions; Notices
Questions about these Demo Terms, or requests to revoke Platform Access under Section 3, may be directed to notice@spotrent.co.
